Terms of Service

These Terms govern your use of the ExactCircle product and website (collectively, the “Service”). By creating an account or using the Service, you agree to these Terms.

1. The Service

ExactCircle provides software for tracking Buyer Representation Agreements, including storage of signed documents, reminder emails, and activity logs. The Service is a record-keeping tool. It is not legal advice, a substitute for legal counsel, or a guarantee of regulatory compliance in any specific jurisdiction.

2. Accounts

You must provide accurate account information and keep your credentials secure. You are responsible for activity under your account. Notify us immediately at security@exactcircle.com if you suspect unauthorized access.

3. Acceptable use

• Upload only documents you have the right to upload. Do not upload third-party confidential information without permission.
• Do not attempt to reverse engineer, probe, or circumvent the Service's security.
• Do not use the Service to send unsolicited bulk email or for any unlawful purpose.

4. Your data

You own the content you upload. You grant ExactCircle a limited, non-exclusive license to host, process, and display that content for the sole purpose of providing the Service to you. We do not use your content to train AI models.

5. Fees and billing

Paid plans are billed monthly or annually in advance. Fees are non-refundable except where required by law. You can cancel at any time; cancellation takes effect at the end of the current billing period.

6. Termination

You may close your account at any time. We may suspend or terminate accounts that violate these Terms or that pose a security or legal risk. On termination, you have 30 days to export data before it is deleted.

7. Disclaimers

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT RESULTS OBTAINED FROM IT WILL BE ACCURATE OR COMPLETE. REMINDERS ARE A BEST-EFFORT CONVENIENCE, NOT A LEGAL GUARANTEE — YOU REMAIN RESPONSIBLE FOR MEETING CONTRACTUAL AND REGULATORY DEADLINES.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXACTCIRCLE'S AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST COMMISSIONS OR LOST BUSINESS OPPORTUNITIES.

9. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Delaware.

10. Changes

We may update these Terms. Material changes will be notified by email at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance.
